Sarada is one of our partners. She is a qualified lawyer and is admitted to practice in Cameroon and Paris.
Her practice focuses on mergers and acquisitions, in distribution law, new technologies law, maritime law, intellectual property law, commercial contracts and advises large groups in company restructuring.
Sarada Nya has worked for Courtois Lebel law firm in Paris, before joining the English law firm DWF LLP .
She has also worked respectively in the corporate and corporate finance department of the Paris office of the English law firm Pinsent Mason LLP, with Pinot de Villechenon & Associés, a French law firm specialized in private equity, at the legal department of the Dalkia company, with Alain Afflelou Franchiseur legal department, at the legal department of the Tarkett company and the at the general secretary of Axa Investment Managers.
Sarada Nya holds a LLM in International Commercial Law from Dundee University in Scotland and a double major Master’s Degree in Ethics Law and Contract Law from the Cergy Pontoise University. She also holds an Undergraduate Degree in Business Law from Catholic University of Lille – France. She is fluent in both English and French.
She is a member and treasurer of the Association of Cameroon Lawyers in France. She is also a member of the African Business Lawyers’ Club (ABLC), an association promoting the migration of best practices of business law in Africa. Sarada Nya is the national president of the French based American association ‘Believe in Africa’ promoting the economic and social development of Africa.
Sarada Nya has in particular intervened in the following transactions:
The negotiation of the merging of three major French companies by the Keywords International group, listed on the London Stock Exchange;
The negotiation of the acquisition of several commercial French companies by foreign companies;
The drafting and negotiation of projects financing (in particular concluded for projects within the sector of energy in the Republic of Congo);
The creation of a sovereign fund contemplated by a Central African Country;
Legal assistance to the Republic of Congo in a litigation opposing the latter to the company Commisimpex;
Legal assistance to Oil & Gas companies amongst them Orion Group SA and the SNPC (Société Nationale des Pétroles du Congo) within their litigation on financial matters;
The review of the terms of services and its subsequent acts in digital companies (among them company Kelkoo) as well as the compliance to the General Data Protection Regulation (GDPR);
The negotiation of the restructuring of a joint venture of the Tagidor group (parent company of the company Les Laboratoires Biopharma);
The negotiation of several confidential memoranda of understanding within the scope of international commercial litigation related to the break of established business relationships;
The drafting of several shareholders agreements for several French companies;
The management and coordination of the implementation of business ethics and compliance policies for commercial companies in particular the drafting of anti-corruption policies (among them that of the French group Tarkett) in accordance with the American, British and French anti-corruption laws (FCPA & Anti-Bribery Act).
